Master Terms of Use & Confidentiality Agreement

Welcome to AQUOM Gulf LLC.
This Master Terms of Use & Confidentiality Agreement (“Agreement”) establishes the legally binding terms governing your access to and use of www.aquom.ae, including the procurement of industrial solutions, access to technical documentation, and handling of proprietary information.
By accessing this website, downloading documentation, requesting technical information, or engaging with AQUOM Gulf LLC, you acknowledge that you have read, understood, and agree to be bound by the terms set forth in this Agreement.
1. General Terms & Conditions
1.1 Corporate Entity & Jurisdiction
This Agreement governs the legal relationship between the User and AQUOM Gulf LLC, an industrial operating company registered within the Khalifa Economic Zones Abu Dhabi (KEZAD), United Arab Emirates.
All commercial activities, technical engagements, and contractual relationships shall be governed in accordance with the applicable laws of the United Arab Emirates.
1.2 Compliance with UAE Law
These Terms are drafted in accordance with the applicable legal framework of the United Arab Emirates, including but not limited to:
Federal Law No. 15 of 2020 regarding Consumer Protection
Federal Decree-Law No. 45 of 2021 concerning Personal Data Protection (PDPL)
Applicable commercial, industrial, and electronic transaction regulations within the UAE
Users are responsible for ensuring their own compliance with any local laws applicable within their jurisdiction.
1.3 Intellectual Property Ownership
Unless otherwise expressly stated, all content made available through this website remains the exclusive intellectual property of VerDara Capital and AQUOM Gulf LLC.
Protected materials include, but are not limited to:

- Technical drawings
- Product formulations
- Chemical compositions
- Dosing hardware designs
- Process methodologies
- Software
- Operational metrics
- Images
- Graphics
- Documentation
- Branding and trademarks
- Website design and content
No material may be copied, reproduced, distributed, modified, translated, reverse engineered, or used for commercial purposes without prior written authorization from AQUOM Gulf LLC.

2.1 Independent Verification
Industrial specifications, engineering calculations, financial ROI models, dosing recommendations, operational metrics, and technical parameters are continuously refined through ongoing engineering development.

2.2 Regulatory Status & Application Limitations
Products, systems, mineral formulations, and engineering recommendations may be subject to varying regulatory requirements depending upon:
- Country
- Industry
- Environmental regulations
- Wastewater discharge permits
- Agricultural standards
- Mining regulations
- Food production regulations
- Municipal requirements
It remains solely the responsibility of the customer to determine suitability and regulatory compliance prior to implementation.
2.3 Limitation of Liability
All website resources, engineering documentation, dosing schematics, technical papers, mineral matrices, software tools, calculators, and informational materials are provided on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by applicable law, AQUOM Gulf LLC shall not be liable for:
- Operational losses
- Business interruption
- Environmental regulations
- Environmental penalties
- Production downtime
- Loss of profits
- Equipment damage
- Regulatory non-compliance
- Indirect or consequential damages
This includes, but is not limited to, damages resulting from:
- Improper manual mixing
- Incorrect slurry preparation
- Improper dry broadcasting
- Incorrect dosing
- Unauthorized process modifications
- Misapplication of mineral-based flocculants
- Failure to follow engineering recommendations
3. Mutual Non-Disclosure & Confidentiality Agreement (NDA)
Accessing any gated documentation, downloadable resources, or proprietary technical information constitutes immediate acceptance of this Confidentiality Agreement.
This includes, but is not limited to:
- Technical Data Sheets
- Product Specifications
- Engineering Drawings
- Financial ROI Frameworks
- Water Remediation Models
- Soil Remediation Documentation
- Poultry Management Systems
- Wastewater Surcharge Reduction Frameworks
- Automated Dosing Specifications
- Process Flow Diagrams
- Chemical Performance Reports
3.1 Definition of Confidential Information
“Confidential Information” includes all written, electronic, digital, verbal, photographic, graphical, or physical information disclosed by AQUOM Gulf LLC possessing commercial, technical, scientific, operational, or strategic value.
Examples include:
- Proprietary chemical taxonomy
- Hydrated Aluminum Phyllosilicate Complex formulations
- Chemical ratios
- Manufacturing methodologies
- Engineering processes
- Hardware designs
- Automation systems
- Financial models
- Supplier information
- Technical know-how
- Research data
- Trade secrets
Whether marked confidential or not, such information shall be treated as confidential if a reasonable person would understand it to be proprietary.
3.2 Obligations of the Receiving Party
The Recipient agrees to:
Maintain Strict Confidentiality
Hold all Confidential Information in the strictest confidence and use reasonable safeguards to prevent unauthorized disclosure.
Use Information Only for Evaluation
Use the Confidential Information solely for evaluating potential industrial implementation within the Recipient’s own operations.
Examples include evaluating:
- FOG reduction
- TSS reduction
- BOD reduction
- Wastewater optimization
- Industrial process improvements
No other use is permitted.
No Competitive Use
Confidential Information shall never be used for:
- Competitive benchmarking
- Patent applications
- Product development
- Manufacturing competing products
- Licensing to third parties
- Commercial exploitation
- Public disclosure
Return or Destruction of Materials
Upon written request or termination of discussions, the Recipient shall promptly:
- Return all confidential materials; or
- Permanently destroy all physical and digital copies.
The Recipient shall certify such destruction if requested by AQUOM Gulf LLC.
4. Governing Law & Dispute Resolution
All matters arising under this Agreement shall be governed exclusively by the laws of the United Arab Emirates.

Both parties agree that all disputes shall be resolved exclusively within the competent courts of Abu Dhabi unless otherwise mutually agreed in writing.
5. Severability
If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
The invalid provision shall be interpreted or modified only to the extent necessary to preserve the original intent of the Agreement.
